Transactional

Adobe Systems Incorporated (U.S. and EU)
We provided antitrust counsel for Adobe Systems Incorporated in its acquisition of Macromedia, Inc. for $3.4 billion. We successfully persuaded the U.S. Department of Justice (DOJ) that the transaction would present no competitive issue in any of the markets being investigated. We also coordinated Adobe's global defense efforts.

Biosite Incorporated
We obtained worldwide antitrust clearance in Biosite's $1.6 billion sale to Inverness Medical Innovations, Inc.

Brocade Communications Systems, Inc.
We counseled  Brocade in obtaining worldwide antitrust clearance for its $2.6 billion acquisition of Foundry Networks

Sazerac
After a two month FTC investigation, obtained antitrust clearance for Sazerac's purchase of more than 40 alcohol spirits brands and production facilities from Constellation Brands, a transaction valued at approximately $334 million

Siebel Systems, Inc.
We provided antitrust counsel for Siebel Systems in the sale of its business to Oracle Corporation for $5.8 billion. We successfully obtained approval for the transaction just weeks after filing the Hart-Scott-Rodino, a remarkable achievement given the prior Oracle/PeopleSoft matter. We also coordinated Siebel's global defense efforts.

URS Corporation
We obtained worldwide antitrust clearance for URS's $3.1 billion acquisition of Washington Group International, Inc.

Websense, Inc.
We obtained worldwide antitrust clearance for Websense's $440 million acquisition of SurfControl

Litigation

Covidien Ltd.
We represented Covidien in federal courts in California, Missouri, Massachusetts, and Texas. Cases involved cutting-edge monopolization issues involving bundled discounts, group purchasing organizations and other supply practices in the health care sector.  We successfully moved to dismiss a national class action involving these practices in one case, and obtained a voluntary dismissal in another.  In another case, we succeeded in reducing the jury verdict by 90 percent and avoided request for a sweeping conduct injunction.

Mitsubishi Corporation
We represented Mitsubishi in a federal price-fixing trial in Philadelphia

NVIDIA Corporation
We represented NVIDIA in a DOJ investigation (closed without action) and related multi-district litigation. We successfully defeated class certification for indirect purchaser classes and substantially reduced scope of direct purchaser class in follow-on antitrust litigation.

Qualcomm Incorporated
We represented Qualcomm in antitrust litigation brought by Broadcom relating to the UMTS telecommunications standard promulgated by the European Telecommunications Standards Institute
