San Francisco – Cooley represented Brocade Communications Systems in its offering of $300 million aggregate principal amount of 4.625 percent Senior Notes due 2023. The notes are Brocade's senior, unsecured obligations, and interest on the notes is payable semi-annually in cash at a rate of 4.625 percent per annum beginning July 15, 2013. The company will use the proceeds of the financing, together with cash on hand, to redeem all of its outstanding 6.625 percent senior secured notes due 2018.
