Cooley advised MindMed, a clinical-stage biopharmaceutical company developing novel product candidates to treat brain health disorders, on its successful proxy contest against FCM MM Holdings.

Cooley advised Intersect ENT, a global ear, nose and throat medical technology leader dedicated to transforming patient care, on its agreement to sell to medical technology company Medtronic in an all-cash transaction valued at $1.1 billion. Lawyers Steve Tonsfeldt, Matthew Hemington, Kevin Cooper and Matthew Silverman led the Cooley team advising Intersect ENT.

Cooley advised oncology-focused biopharmaceutical company Nuvation Bio on its agreement to combine with Panacea, a special purpose acquisition company or SPAC, sponsored by EcoR1 Capital. Upon closing, which is expected in Q1 2021, Panacea will be renamed Nuvation Bio, and its common stock will be listed on the New York Stock Exchange under the new symbol “NUVB.” Cooley partners Kenneth Guernsey, Rama Padmanabhan and John McKenna led the team advising Nuvation on the agreement.

Cooley advised the underwriters on Angion Biomedica’s $92 million initial public offering of 5,750,000 shares of common stock, which includes the full exercise of the underwriters’ option to purchase additional shares. Cowen and Company LLC and Stifel, Nicolaus & Company, Inc. acted as joint book-running managers for the offering.  Angion Biomedica, whose securities now trade on the Nasdaq Global Market under the symbol “ANGN,” is a late-stage biopharmaceutical company focused on the discovery, development and commercialization of novel small molecule therapeutics to address acute organ injuries and fibrotic diseases. Partners Kenneth Guernsey, Jonie Kondracki and Charlie Kim led the Cooley team.

Cooley advised Portola, a commercial-stage biopharmaceutical company focused on life-threatening blood-related disorders, on its agreement to sell to Alexion Pharmaceuticals for $18 per share in cash – a value of $1.41 billion. Jamie Leigh, Ian Nussbaum, Kenneth Guernsey, Robert Jones and Sally Kay led the Cooley team advising Portola on the transaction, which is expected to close in Q3.
