Cooley Bolsters Corporate Governance Practice With Addition of Industry Thought Leader
New York – September 5, 2024 – Broc Romanek has joined Cooley as a strategic advisor, strengthening the firm’s ability to provide insightful thought leadership in the continually evolving corporate governance and securities regulatory landscape. A widely recognized and respected voice on corporate governance and securities regulation for more than 30 years, Romanek brings unparalleled knowledge of a broad range of governance, disclosure and regulatory issues from his in-house, government and private practice roles.
At Cooley, Broc will be instrumental in driving corporate governance content – including the launch of a new Cooley blog, “The Governance Beat,” which provides practical guidance to address day-to-day and complex governance issues facing our clients. This adds to Cooley’s established and widely cited thought leadership for public companies and builds on the firm’s reputation as trusted counsel for public companies and their boards.
“Through his thought leadership and long-standing position as one of the most prominent voices on market-defining governance topics, Broc is a trailblazer in describing how different facets of corporate governance apply to our clients’ day-to-day activities,” said Sonya Erickson, global chair of Cooley’s business department. “His actionable and forward-looking insights will be a significant asset to the corporate governance community as we navigate the increasingly complex governance landscape together.”
Before joining the firm, Romanek was editor for TheCorporateCounsel.net, CompensationStandards.com and DealLawyers.com. He served as assistant general counsel at Lockheed Martin, worked in the Office of Chief Counsel at the Securities and Exchange Commission’s Division of Corporation Finance, was a counselor to former SEC Commissioner Laura Unger, and worked in private practice. Romanek also is the author or co-author of four legal treatises and has written several books focused on the legal industry.
“I’m excited to join Cooley at a time when corporate governance increasingly impacts companies at all stages of their life cycle,” said Romanek. “The Cooley platform embodies this phenomenon more than any other firm given the scope and breadth of the innovative companies the firm represents.”
Romanek continued, “‘The Governance Beat’ will serve the in-house practitioner community in a unique way by providing ‘bottom-line’ practical guidance on key regulatory and governance developments and sharing tips and wisdom from the hundreds of in-house counsel that the firm talks to on a daily basis.”
While advice on corporate governance issues has always been a core part of serving the firm’s clients, growing regulatory complexity and competing stakeholder interests have thrust corporate governance issues to the forefront in the boardroom. Cooley’s cross-disciplinary corporate governance team draws from experience across the firm to advise companies (both public and private), private investment funds, directors, boards and senior management on the full range of governance issues – including securities law compliance, stock exchange listing requirements, crisis management and internal investigations, recent trends and developments involving environmental, social and governance (ESG), cyber/data/privacy incident response, management, readiness and SEC reporting, and shareholder engagement and activism matters.
