Core Scientific Announces $625 Million Convertible Senior Notes

Washington, DC – December 5, 2024 – Cooley advised Core Scientific (NASDAQ: CORZ), a leader in digital infrastructure for bitcoin mining and high-performance computing, on its $625 million aggregate principal of 0.00% convertible senior notes due 2031, which includes the exercise in full of the initial purchasers’ option to purchase up to an additional $75 million aggregate principal amount of notes.

Partners Daniel Peale, Mischi a Marca, Eric Blanchard, Jason Savich and Peter Byrne led the Cooley team advising Core Scientific.

Cooley previously advised Core Scientific on its recent August offering of $460 million aggregate principal amount of 3.00% convertible senior notes due 2029, which included the exercise in full of the initial purchasers’ option to purchase up to an additional $60 million aggregate principal amount of notes. Thus, in the past six months, Cooley has advised Core Scientific on more than $1 billion in convertible bonds.
