The Securities and Exchange Commission has finalized long-pending pay-versus-performance disclosure rules mandated by the Dodd-Frank Act, and as a result, most reporting companies now face significant new disclosure requirements in 2023 proxy statements. The new rules require disclosing specified performance metrics, and a new measure of executive compensation called “compensation actually paid” (tip: it’s NOT simply compensation actually realized or received) in narrative, graphical and tabular formats. Advance and strategic preparation will be crucial in ensuring complete data gathering, appropriate metric selection, complex calculations and final disclosure that is compliant with the SEC rules, as well as meaningful for investors. 

In this webcast series, Cooley practitioners and industry leaders will discuss the latest compensation trends and strategies, as well as the challenges that public companies face when balancing legal, tax and disclosure requirements with practical business needs.
