Event summary
Cooley’s public companies group hosted our annual SEC Reporting Skills Workshop. This event featured interactive sessions focusing on drafting various Securities and Exchange Commission disclosures, identifying common pitfalls and offering practical guidance for today’s dynamic reporting environment.
Topics included the recent pay-versus-performance rule, environmental, social and governance (ESG) reporting, the pending climate and cybersecurity rules, proxy statement trends, and drafting periodic reports, MD&A and earnings releases.

Partner Christina Roupas and special counsel Ariane Andrade covered an overview of recent trends in the Compensation Discussion and Analysis (CD&A) and Human Capital Management (HCM) disclosures in the annual proxy statement, with a focus on practical tips for proxy statement disclosures.
