Cooley advised Chimerix (Nasdaq: CMRX), a biopharmaceutical company with a mission to develop medicines that meaningfully improve and extend the lives of patients facing deadly diseases, on its definitive agreement to be acquired by Jazz Pharmaceuticals (Nasdaq: JAZZ) for $8.55 per share in cash – totaling approximately $935 million.

Cooley advised MindMed, a clinical-stage biopharmaceutical company developing novel product candidates to treat brain health disorders, on its successful proxy contest against FCM MM Holdings.

Cooley advised Metacrine on its $85 million initial public offering of 6,540,000 shares of common stock. Metacrine, whose securities now trade on the Nasdaq Global Market under the symbol “MTCR,” is a clinical-stage biopharmaceutical company building a differentiated pipeline of therapies to treat liver and gastrointestinal diseases. Partner Karen Deschaine led the Cooley team.

Cooley advised underwriters on Inhibrx’s $136.9 million initial public offering of 8,050,000 shares of common stock, including full exercise of the underwriters’ option to purchase additional shares. Jefferies, Evercore ISI and Credit Suisse acted as joint book-running managers for the offering. LifeSci Capital acted as co-manager for the offering. Inhibrx’s securities now trade on the Nasdaq Global Market under the symbol “INBX.” Partners Charlie Kim, Sean Clayton, Rich Segal, David Peinsipp, and Will Cai led the Cooley team.

Cooley advised Vital Farms, a certified B Corporation and Delaware public benefit corporation that offers a range of ethically produced pasture-raised food products nationwide, on its $235.4 million initial public offering of 10,699,573 shares of common stock, which includes the full exercise of the underwriters’ option to purchase additional shares. The transaction represents Cooley’s first completed IPO for a certified B Corporation.
