Cooley advised Everbridge, a global leader in critical event management and national public warning solutions, on its definitive agreement to be acquired by Thoma Bravo in an all-cash transaction valuing Everbridge at approximately $1.8 billion.

Cooley advised Arena Pharmaceuticals, a clinical-stage company developing innovative potential therapies for the treatment of several immuno-inflammatory diseases, on its definitive agreement to sell to Pfizer for $6.7 billion. Cooley advised BowX Acquisition Corp., a publicly traded special purpose acquisition company or SPAC, on its agreement to merge with WeWork for $9 billion – a combination that will result in WeWork becoming a publicly listed company. Lawyers Dave Peinsipp, Jamie Leigh, Kevin Cooper, Garth Osterman, Eric Blanchard, Richard Segal, Sangitha Palaniappa and Natasha Patel led the team advising BowX on the transaction, which is expected to close in Q3.

Cooley advised Truebill, a personal finance app that helps consumers manage their financial lives, on its agreement to sell to tech-driven real estate, mortgage and financial services business platform Rocket Companies for $1.275 billion. Kevin Cooper led the Cooley team advising Truebill on this transaction, and Mike Lincoln at Cooley has worked with the company since its inception.

Cooley advised Intersect ENT, a global ear, nose and throat medical technology leader dedicated to transforming patient care, on its agreement to sell to medical technology company Medtronic in an all-cash transaction valued at $1.1 billion.
