Cooley advised PetIQ (Nasdaq: PETQ), a leading pet medication, health and wellness company, on its definitive merger agreement with Bansk Group, pursuant to which Bansk Group will acquire all outstanding shares of PetIQ’s common stock for $31 per share in an all-cash transaction valued at approximately $1.5 billion.

Cooley advised Everbridge, a global leader in critical event management and national public warning solutions, on its definitive agreement to be acquired by Thoma Bravo in an all-cash transaction valuing Everbridge at approximately $1.8 billion.

Cooley advised Arena Pharmaceuticals, a clinical-stage company developing innovative potential therapies for the treatment of several immuno-inflammatory diseases, on its definitive agreement to sell to Pfizer for $6.7 billion. Partners Jamie Leigh, Kevin Cooper and Steve Przesmicki led the Cooley team advising Arena.

Cooley advised BowX Acquisition Corp., a publicly traded special purpose acquisition company or SPAC, on its agreement to merge with WeWork for $9 billion – a combination that will result in WeWork becoming a publicly listed company.
