Cooley partnered with the Northern California Innocence Project to secure the release of Kevin Harper Jr., who was wrongfully convicted for the death of his infant son in 2008. Harper’s wrongful conviction, which resulted in a sentence of 25 years to life, was based on medical evidence that has since been widely discredited. A recent change in California’s AB 1540 law paved the way for the Sacramento District Attorney’s Office to re-review Kevin’s case. This allowed for a petition to resentence and release Harper, ending his 13-year incarceration in late January.

Cooley advised NVIDIA on its registered debt offering of $5 billion aggregate principal amount of investment grade senior unsecured notes. The offering consisted of $1.25 billion aggregate principal amount of 0.309% notes due 2023; $1.25 billion aggregate principal amount of 0.584% notes due 2024; $1.25 billion aggregate principal amount of 1.550% notes due 2028; and $1.25 billion aggregate principal amount of 2.000% notes due 2031. Partners Michael Tollini, Mischi a Marca, Jason Savich, Eric Jensen and John McKenna led the Cooley team advising NVIDIA.

Cooley advised BowX Acquisition Corp., a publicly traded special purpose acquisition company or SPAC, on its agreement to merge with WeWork for $9 billion – a combination that will result in WeWork becoming a publicly listed company. Lawyers Dave Peinsipp, Jamie Leigh, Kevin Cooper, Garth Osterman, Eric Blanchard, Richard Segal, Sangitha Palaniappa and Natasha Patel led the team advising BowX on the transaction, which is expected to close in Q3.

Cooley advised clinical-stage biotechnology company Orca Bio on its $192 million Series D financing round, which was co-led by Lightspeed Venture Partners and an undisclosed investor. The round brings Orca’s total capital raised to nearly $300 million and values the company at more than $1 billion. Cooley partners Josh Seidenfeld and Mark Weeks led the team advising Orca. 

Cooley secured the complete dismissal of a securities class action regarding the company’s statements about its active client growth and television advertising efforts. The court dismissed all claims with prejudice.
