Cooley advised Snowflake, the artificial intelligence (AI) Data Cloud company, on its private placement of $2.3 billion aggregate principal amount of convertible senior notes, consisting of $1.15 billion principal amount of convertible senior notes due 2027 and $1.15 billion aggregate principal amount of convertible senior notes due 2029, which includes the exercise in full of the initial purchasers’ options to purchase an additional $150 million principal amount of 2027 notes and $150 million principal amount of 2029 notes. 

Cooley advised Confluent, a data-streaming platform pioneering a fundamentally new category of data infrastructure that sets data in motion, on its acquisition of WarpStream, an Apache Kafka-compatible data-streaming platform.

Cooley advised Abnormal Security, the leader in AI-native human behavior security, on its $250 million Series D financing at a $5.1 billion valuation.

Cooley advised Heartbeat Health, one of the top cardiovascular care companies in the US, on the close of its Series C financing led by Cressey & Company, a private investment firm focused on building leading healthcare services and information technology businesses.

Cooley advised Rubrik, the Zero Trust Data Security Company delivering data security and operational resilience for enterprises, on its $752 million initial public offering. Rubrik issued and sold 23,500,000 shares of Class A common stock priced at $32 per share, with a 30-day option for the underwriters to purchase up to 3,525,000 additional shares of Class A common stock.
