Cooley advised Snowflake, the artificial intelligence (AI) Data Cloud company, on its private placement of $2.3 billion aggregate principal amount of convertible senior notes, consisting of $1.15 billion principal amount of convertible senior notes due 2027 and $1.15 billion aggregate principal amount of convertible senior notes due 2029, which includes the exercise in full of the initial purchasers’ options to purchase an additional $150 million principal amount of 2027 notes and $150 million principal amount of 2029 notes. 

Cooley advised Instacart, the leading grocery technology company in North America, on its $660 million initial public offering.

Cooley advised Abnormal Security, the leader in AI-native human behavior security, on its $250 million Series D financing at a $5.1 billion valuation.

Cooley advised SoundHound AI, a leader in voice artificial intelligence, in the closing of a new $125 million loan facility from Atlas Credit Partners.

Cooley advised Rubrik, the Zero Trust Data Security Company delivering data security and operational resilience for enterprises, on its $752 million initial public offering. Rubrik issued and sold 23,500,000 shares of Class A common stock priced at $32 per share, with a 30-day option for the underwriters to purchase up to 3,525,000 additional shares of Class A common stock.
