Cooley advised Chimerix (Nasdaq: CMRX), a biopharmaceutical company with a mission to develop medicines that meaningfully improve and extend the lives of patients facing deadly diseases, on its definitive agreement to be acquired by Jazz Pharmaceuticals (Nasdaq: JAZZ) for $8.55 per share in cash – totaling approximately $935 million.

Cooley advised Next Gen Foods, a food-tech startup developing and commercializing innovative and sustainable plant-based food products, on its $100 million Series A funding, which is the largest Series A to date for a plant-based meat company. Lawyers Ferish Patel and Gwenlynne Lee led the Cooley team advising Next Gen Foods, which also included Chris Coulter, Aaron Pomeroy, Susan Choy, Xinwei Li, Hannah Loo, Michael Marietta, Jon Beh and Sanat Deshpande.

Cooley advised Riverwood Capital on leading Nium’s $200 million+ Series D financing round, which brings the Singapore-based business payments company’s valuation to more than $1 billion. Partners Matthew Bartus and Adam Dinow led the international Cooley team advising Riverwood Capital on the transaction, which makes Nium the first business-to-business (B2B) unicorn in Southeast Asia.

Cooley advised FinAccel, the parent of artificial intelligence-enabled digital consumer credit platform Kredivo, on its agreement to merge with VPC Impact Acquisition Holdings II (VPCB), a special purpose acquisition company (SPAC) sponsored by Victory Park Capital (VPC), which will result in Kredivo becoming a publicly traded company on Nasdaq. Partners Ferish Patel, Matthew Bartus, Rama Padmanabhan and Will Cai led the Cooley team advising FinAccel on the transaction, which marks the largest fintech deSPAC transaction in Asia.
