A Cooley team advised Horizon Therapeutics, a specialty biopharmaceutical company, on its agreement to be acquired by Amgen. The approximately $28 billion merger would represent the third-largest all-cash transaction in the pharmaceutical sector in history and the biggest healthcare deal of 2022.

Cooley served as US legal counsel to Oculis in its business combination with European Biotech Acquisition Corp. Partners Michal Berkner, Div Gupta, Ryan Sansom and Aaron Pomeroy led the Cooley team.

Cooley advised TPB Acquisition Corporation I, a special purpose acquisition company sponsored by The Production Board, in its business combination agreement that will result in Lavoro Limited, a leading agricultural inputs retailer in Latin America, becoming a US publicly listed company with an implied initial enterprise value of approximately $1.2 billion.

Cooley advised Coupang, one of Asia’s largest ecommerce companies, on its $4.55 billion initial public offering of 130 million shares of Class A common stock, including 30 million shares sold by selling stockholders. In addition, Cooley advised Coupang on its $1 billion credit line by a syndicate of lenders. Lawyers Eric Jensen, Calise Cheng and Natalie Karam led the global Cooley team advising Coupang on its IPO, which is the biggest IPO in the US this year and one of the top 25 listings of all time based on deal size. Patrick Flanagan led the Cooley team advising on the credit line. 

Cooley advised Summit Healthcare Acquisition Corp. (Summit Healthcare), a publicly traded special purpose acquisition company, on its business combination with YishengBio Co., Ltd. (YS Biopharma), a global biopharmaceutical company dedicated to discovering, developing, manufacturing and commercializing new generations of innovative vaccines and therapeutic biologics.
