Cooley advised the special committee of Checkpoint Therapeutics’ (Nasdaq: CKPT) board of directors in connection with Checkpoint’s definitive agreement to be acquired by Sun Pharmaceutical Industries (NSE: SUNPHARMA) for up to $416 million in cash and contingent value rights.

Cooley advised Katy Hearn and Haydn Schneider, co-founders of Alani Nu, in connection with Celsius Holdings’ (Nasdaq: CELH) definitive agreement to acquire the company for $1.8 billion in cash and stock.

Cooley advised Halcyon on its $100 million Series C funding. Partner Derek Colla led the Cooley team advising Halcyon, an organization devoted to defeating ransomware through prevention and resilience by way of a proprietary technology that captures encryption keys, enabling organizations to recover from attacks in minutes without paying ransom.

Cooley advised Adarga, an artificial intelligence-driven software leader, on its acquisition of J2X Solutions, a veteran-owned consulting company with a team that draws on decades of experience in the military and federal law enforcement to provide strategic risk intelligence.

Cooley advised Fontainebleau Aviation, a part of Fontainebleau Development’s luxury services division, on its partnership with Skyservice Business Aviation.
