Cooley advised BlackSignal Technologies, a digital signal processing and electronic warfare company delivering advanced processing capabilities in support of national security, on its definitive agreement to be acquired by Parsons Corporation in an accretive deal valued at $200 million.

The Chapter 11 plan of PhaseBio Pharmaceuticals, a long-standing Cooley life sciences client, has gone effective following the court’s confirmation of the Chapter 11 plan on June 26, 2024. The plan provides for a global settlement with the official committee of unsecured creditors and a settlement with PhaseBio’s former co-development partner. The Chapter 11 bankruptcy case in the US Bankruptcy Court for the District of Delaware was handled by a multioffice, cross-disciplinary Cooley team.

Cooley advised Adarga, an artificial intelligence-driven software leader, on its acquisition of J2X Solutions, a veteran-owned consulting company with a team that draws on decades of experience in the military and federal law enforcement to provide strategic risk intelligence.

Cooley advised Luna Innovations, a global leader in advanced fiber optic-based technology, on its $50 million investment from White Hat Capital Partners and its acquisition of Silixa.

Cooley advised Propella Therapeutics, a privately held biopharmaceutical company that has leveraged a wholly owned proprietary platform that combines medicinal chemistry with lymphatic targeting to create new oncology drugs, on its merger agreement with Astellas Pharma in which Astellas will acquire Propella through a US subsidiary.
