Cooley advised Horizon Therapeutics on its agreement to acquire Viela Bio, under which Horizon will acquire all of the issued and outstanding shares of Viela Bio in a transaction representing a fully diluted equity value of approximately $3.05 billion. Cooley advised Vividion Therapeutics, a biopharmaceutical company utilizing novel discovery technologies to unlock high-value, traditionally undruggable targets with precision therapeutics, on its agreement to sell to Bayer AG for a purchase price of $1.5 billion and up to $500 million in success-based milestone payments. Partners Barbara Borden and Karen Deschaine led the Cooley team advising Vividion.

A Cooley team advised Horizon Therapeutics, a specialty biopharmaceutical company, on its agreement to be acquired by Amgen. The approximately $28 billion merger would represent the third-largest all-cash transaction in the pharmaceutical sector in history and the biggest healthcare deal of 2022.

Cooley advised VelosBio, a clinical-stage biopharmaceutical company, on its agreement to sell to Merck, through a subsidiary, for $2.75 billion. Cooley lawyers Barbara Borden, Ken Rollins and Rowook Park led the team advising VelosBio on the transaction, which is expected to close by the end of 2020.
