Cooley advised Candid Therapeutics, a biotechnology company dedicated to developing potentially transformative drugs to address autoimmune diseases, on its $370 million debut capital raise and three-way merger with Vignette Bio and TRC 2004.

Cooley advised Radionetics Oncology, a biotechnology company discovering and developing novel small molecule G protein-coupled receptor (GPCR)-targeted radiopharmaceuticals to treat a broad range of solid tumors, on the formation of a strategic agreement with Eli Lilly to take forward Radionetics’ proprietary GPCR-targeting small molecule radiopharmaceuticals. Under the terms of the agreement, Radionetics received a $140 million up-front cash payment. Additionally, Lilly obtained the exclusive right to acquire Radionetics for $1 billion upon conclusion of an exercise period.

Cooley advised Jiangsu Hengrui Pharmaceuticals, one of the largest pharmaceutical companies in China, on its licensing of global rights (excluding Greater China) for the development, production and commercialization of three of its proprietary glucagon-like peptide-1 (GLP-1) drugs to Hercules CM Newco, a newly established Delaware company.

Cooley advised Cidara Therapeutics (Nasdaq: CDTX), a biotechnology company using its proprietary Cloudbreak platform to develop drug-Fc conjugate immunotherapies designed to save lives and improve the standard of care for patients facing serious diseases, on its concurrent $240 million private placement financing and definitive agreement with Janssen Pharmaceuticals, a Johnson & Johnson Company, to reacquire the exclusive global development and commercial rights to CD388.

Cooley advised Alto Neuroscience, a company redefining psychiatry by leveraging individuals’ neurobiology to develop personalized and highly effective medicines and helping patients get better faster, on its $147.9 million initial public offering.
