Cooley advised Tvardi Therapeutics, a privately held, clinical-stage biopharmaceutical company focused on the development of novel, oral, small-molecule therapies targeting STAT3 to treat fibrosis-driven diseases, on its definitive merger agreement to combine in an all-stock transaction with Cara Therapeutics (Nasdaq: CARA), a development-stage biopharmaceutical company that has been leading a new treatment paradigm to improve the lives of patients suffering from pruritus.

Cooley advised Radionetics Oncology, a biotechnology company discovering and developing novel small molecule G protein-coupled receptor (GPCR)-targeted radiopharmaceuticals to treat a broad range of solid tumors, on the formation of a strategic agreement with Eli Lilly to take forward Radionetics’ proprietary GPCR-targeting small molecule radiopharmaceuticals. Under the terms of the agreement, Radionetics received a $140 million up-front cash payment. Additionally, Lilly obtained the exclusive right to acquire Radionetics for $1 billion upon conclusion of an exercise period.

Cooley advised Ensemble, an early-stage venture capital firm backed by category-defining advisers, on its $100 million debut fund.

Cooley advised Grafana Labs, the company behind the world’s most ubiquitous open and composable operational dashboards, on its $220 million Series C financing round, which brings its valuation to $3 billion. Lawyers Kevin Rooney and Mary Wilbourn led the Cooley team advising Grafana Labs.

Cooley advised Snapdocs, a digital closing platform for the mortgage industry, on its $150 million Series D financing round, which brings its valuation to more than $1.5 billion. Partner Kevin Rooney led the Cooley team advising Snapdocs.
