Cooley advised Cidara Therapeutics (Nasdaq: CDTX), a biotechnology company using its proprietary Cloudbreak platform to develop drug-Fc conjugate immunotherapies designed to save lives and improve the standard of care for patients facing serious diseases, on its concurrent $240 million private placement financing and definitive agreement with Janssen Pharmaceuticals, a Johnson & Johnson Company, to reacquire the exclusive global development and commercial rights to CD388.

Cooley advised Inscripta, a global leader in genome engineering technology, on its acquisition of Infinome Biosciences and Sestina Bio. These acquisitions advance Inscripta’s strategy to develop and commercialize biomanufactured products for a broad spectrum of industrial and consumer markets. They also demonstrate Inscripta’s confidence in the commercial potential of the bioeconomy and the power of genome engineering to accelerate biomanufacturing innovation. Cooley, which represents more than 600 digital health clients across the healthcare ecosystem, advised One Medical, a human-centered, technology-powered national primary care organization, on a definitive merger agreement under which Amazon will acquire One Medical for $18 per share in an all-cash transaction valued at approximately $3.9 billion, including One Medical’s net debt.
