Cooley advised PlayAGS, a global gaming supplier of high-performing slots, tables and interactive products, on its definitive agreement to be acquired by the affiliates of Brightstar Capital Partners for $1.1 billion.

Cooley advised Cidara Therapeutics (Nasdaq: CDTX), a biotechnology company using its proprietary Cloudbreak platform to develop drug-Fc conjugate immunotherapies designed to save lives and improve the standard of care for patients facing serious diseases, on its concurrent $240 million private placement financing and definitive agreement with Janssen Pharmaceuticals, a Johnson & Johnson Company, to reacquire the exclusive global development and commercial rights to CD388.

Cooley advised Morphimmune, a private biotechnology company, in its definitive merger agreement with Immunome and $125 million private investment.

Cooley advised Arena Pharmaceuticals, a clinical-stage company developing innovative potential therapies for the treatment of several immuno-inflammatory diseases, on its definitive agreement to sell to Pfizer for $6.7 billion. Partners Jamie Leigh, Kevin Cooper and Steve Przesmicki led the Cooley team advising Arena.

Cooley advised Vuori on its $400 million investment from SoftBank Vision Fund 2 at a valuation of $4 billion, marking one of the largest investments in a private apparel company. Vuori merges technical clothing with a West Coast aesthetic that looks and feels great. As Vuori embarks upon its next phase of growth,  it will continue to expand its product offerings, make key investments in infrastructure and people, and expand boost its sustainability efforts.
