Cooley advised Cara Therapeutics, Inc. on its $40 million royalty interest purchase and sale agreement with HealthCare Royalty Partners. Michael Tollini and Addison Pierce led the Cooley team advising Cara, which included Bin Wang, Xueqing Li and Jordan Verrilli. Cara, which trades on The NASDAQ Global Market as “CARA,” is a clinical-stage biotech company focused on developing and commercializing new chemical entities designed to alleviate pain and pruritus by selectively targeting peripheral kappa opioid receptors.

Cooley advised Olema Pharmaceuticals, Inc. on its private placement of approximately $130 million in common stock and a senior secured credit facility with an aggregate principal amount of up to $50 million.  Jodie Bourdet and Julia Boesch led the team advising on the private placement, which included Julia Gage and Rebecca Siegel.  Addison Pierce led the team advising on the credit facility, which included Margaret Barreto.  Olema, whose securities trade on the Nasdaq Global Market under the symbol “OLMA,” is a clinical-stage biopharmaceutical company focused on the discovery, development and commercialization of targeted therapies for women’s cancers.

Cooley advised Sprout Social, a social media management software company, on its $140 million acquisition of Tagger Media, a top influencer marketing platform, and a concurrent $100 million secured debt facility, which will be partially used to fund the acquisition.

Cooley advised NETSTREIT on a $250 million sustainability-linked senior unsecured term loan facility agented by Truist Bank, as well as the amendment and extension of its existing $175 million senior unsecured term loan agented by Wells Fargo Bank. NETSTREIT is a real estate investment trust based in Dallas, Texas, that acquires single-tenant net lease retail properties across the US. Michael Tollini, Christina Roupas, Addison Pierce, Sai Yarramalla, Margaret Barreto and Leah Duncan led the Cooley team.

Cooley advised Thirty Madison, a family of specialized healthcare brands, in its acquisition of certain assets from The Pill Club, following a sale process conducted by The Pill Club under Section 363 of the US Bankruptcy Code.
