LegalZoom Announces Acquisition of Formation Nation

San Francisco – February 10, 2025 – Cooley advised LegalZoom (Nasdaq: LZ), an online platform for legal services, on its acquisition of Formation Nation, a small-business services company. Under the terms of the transaction, LegalZoom acquired Formation Nation for $49.3 million in cash up front and approximately 2,200,000 restricted shares of its common stock, which are subject to lockup and voting agreements. An additional $15.4 million in cash is subject to a one-year holdback and customary adjustments.
