Cooley advised Tempus AI (Nasdaq: TEM), a technology company advancing precision medicine through the practical application of artificial intelligence in healthcare, on its agreement to acquire Ambry Genetics, a company focusing on genetic testing that aims to improve health by understanding the relationship between genetics and disease.

Cooley advised long-time biotech client, Gamida Cell Ltd., and its wholly-owned subsidiary, Gamida Cell Inc. (collectively, the “Company”), in the Company’s global restructuring through a novel use of debt arrangement proceedings in Israel combined with Chapter 15 and 11 proceedings in the United States. 

Cooley advised Yardi Systems, a large software corporation with offices worldwide, in connection with WeWork’s emergence from Chapter 11 and completion of WeWork’s global operational and financial restructuring.

Cooley advised Sprout Social, a social media management software company, on its $140 million acquisition of Tagger Media, a top influencer marketing platform, and a concurrent $100 million secured debt facility, which will be partially used to fund the acquisition.

Cooley advised Zephr, a leading subscription experience platform used by global digital publishing and media companies, on its $44 million process sale to Zuora, the leading cloud-based subscription management platform provider. Partner Aaron Archer led the Cooley team advising Zephr.
