Cooley advised VNGR Beverage (doing business as poppi), a fast-growing prebiotic soda brand, on its acquisition by PepsiCo (Nasdaq: PEP) for $1.95 billion, including an additional potential earnout consideration subject to the achievement of certain performance milestones within a specified period after closing.

Cooley advised Nutrafol, a leading provider of hair wellness products, on its agreement to sell a majority stake in the company to Unilever. Partner Kevin Cooper led the Cooley team advising Nutrafol on the transaction, and partner Stephane Levy has acted as longtime corporate counsel to the company. Nutrafol is backed by Unilever Ventures and consumer-focused private equity firm L Catterton.

San Diego – March 8, 2022 – Cooley secured a victory for Chicago Title in ongoing litigation arising from the largest Ponzi scheme in San Diego history. US District Judge Larry Burns of the US District Court for the Southern District of California will allow Chicago Title to sue ANI Development, the primary perpetrator of the Ponzi scheme, lifting a litigation stay put in place when ANI was placed into a federal receivership.
