Cooley advised Snowflake, the artificial intelligence (AI) Data Cloud company, on its private placement of $2.3 billion aggregate principal amount of convertible senior notes, consisting of $1.15 billion principal amount of convertible senior notes due 2027 and $1.15 billion aggregate principal amount of convertible senior notes due 2029, which includes the exercise in full of the initial purchasers’ options to purchase an additional $150 million principal amount of 2027 notes and $150 million principal amount of 2029 notes. 

Cooley advised long-time biotech client, Gamida Cell Ltd., and its wholly-owned subsidiary, Gamida Cell Inc. (collectively, the “Company”), in the Company’s global restructuring through a novel use of debt arrangement proceedings in Israel combined with Chapter 15 and 11 proceedings in the United States. 

Cooley advised Brii Biosciences on its agreements with VBI Vaccines (NASDAQ: VBIV) to ensure expansion and control of future clinical and commercial supplies of BRII-179, a late-stage clinical asset in Brii Bio’s hepatitis B virus functional cure portfolio. With operations in major biotechnology centers in the US and China, Brii Bio (HKSE: 2137) is a Hong Kong Stock Exchange-listed biotechnology company developing therapies to improve patient health and choice across diseases with high unmet needs.

Cooley advised Tetra Tech, a leading global provider of consulting and engineering services that focuses on water, environment, sustainable infrastructure, renewable energy and international development, on its Rule 144A offering of $575 million aggregate principal amount of 2.25% convertible senior notes due 2028, which includes the full exercise of the initial purchasers’ option to purchase an additional $75 million aggregate principal amount of notes.
