Cooley successfully secured a ruling dismissing a securities class action against Dutch Bros and two of its former senior executives in its entirety and with prejudice, a rare result on a first-round motion to dismiss. The case is Douglas Rein v. Dutch Bros. Inc. et al. before the US District Court for the Southern District of New York.

Cooley advised Perceptive Advisors, a top healthcare investment firm, and its affiliates, including Perceptive Discovery Fund, on its definitive merger agreement with Vapotherm, a publicly traded developer and manufacturer of advanced respiratory technology based in Exeter, New Hampshire, and listed as VAPO on the over-the-counter quotation exchange (OTCQX).

Cooley advised Yardi Systems, a large software corporation with offices worldwide, in connection with WeWork’s emergence from Chapter 11 and completion of WeWork’s global operational and financial restructuring.

Cooley advised CallTower, an international leader in delivering cloud-based, enterprise-class communications, contact center and collaboration solutions, on its investment from BV Investment Partners.

Cooley advised Senti Biosciences, a biotechnology company, on its sale of certain assets – including its manufacturing facility and chemistry, manufacturing, and controls capabilities – to Celadon Partners.
