Cooley today filed an amicus brief on behalf of social and racial justice nonprofits in TikTok Inc. and ByteDance Ltd. v. Merrick B. Garland (US Court of Appeals for the DC Circuit) challenging the federal legislation banning TikTok – a modern-day digital town square used by more than 150 million US users to engage in First Amendment-protected expression – on free speech and equal protection grounds.

Cooley advised Life360, a family connection and safety company, on its $178.5 million initial public offering.

Cooley advised Rubrik, the Zero Trust Data Security Company delivering data security and operational resilience for enterprises, on its $752 million initial public offering. Rubrik issued and sold 23,500,000 shares of Class A common stock priced at $32 per share, with a 30-day option for the underwriters to purchase up to 3,525,000 additional shares of Class A common stock.

Cooley advised LegalZoom, a leading online platform for business formation, on its upsized follow-on public offering at $161 million.

Cooley is advising Grindr, the #1 social network for the LGBTQ+ community, on its definitive agreement to merge with special purpose acquisition company (SPAC) Tiga Acquisition Corp. – a combination that will result in Grindr becoming a publicly listed company.
