Cooley advised Autolus – a clinical-stage biopharmaceutical company developing next-generation programmed T-cell therapies – on its strategic collaboration with BioNTech, an immunotherapy company pioneering novel therapies for cancer and other serious diseases, to advance both companies’ autologous CAR-T programs toward commercialization, as well as a $350 million underwritten offering.

Cooley is advising Grindr, the #1 social network for the LGBTQ+ community, on its definitive agreement to merge with special purpose acquisition company (SPAC) Tiga Acquisition Corp. – a combination that will result in Grindr becoming a publicly listed company. Partners Dave Peinsipp, Jamie Leigh, Kristin VanderPas, Garth Osterman, Will Cai, Jeffrey Tolin and Aaron Pomeroy, as well as associates Sangitha Palaniappa, Kyle Huh, JJ Meng, Dannielle Antone, Mike Lam and Meera Patel, led the Cooley team advising Grindr.

Cooley advised the shareholders of ICS Learn, an online professional education platform owned by private equity firm Primary Capital Partners, on the platform’s sale to vocational e-learning provider Skill & You, a portfolio company of private equity firm IK Partners. Private equity partner Stephen Rosen led the Cooley team advising the shareholders of ICS Learn.

Cooley advised Dermavant Sciences, a clinical-stage biopharmaceutical company dedicated to developing and commercializing innovative therapeutics in immuno-dermatology, on its $160 million revenue interest purchase and sale agreement for its investigational product tapinarof and its $40 million senior secured credit facility.

Jazz Pharmaceuticals in its acquisition of Redx Pharma's (Redx) pan-RAF inhibitor program for the potential treatment of RAF and RAS mutant tumors. Redx will perform certain pre-clinical activities for the program under a separate collaboration agreement with Jazz. Jazz will be responsible for further development, regulatory activities and commercialization. Jazz will pay Redx an upfront payment of $3.5 million. Redx is eligible to receive up to $203 million in development, regulatory and commercial milestone payments and incremental tiered royalties in mid-single digit percentage, based on any future net sales.
