About John

John Clark represents lenders, borrowers, trustees, and distressed debt investors in connection with cross border and domestic financing transactions, acquisitions and restructurings. He has extensive experience advising clients on complex capital structures, security and intercreditor issues. He advises clients at all levels of the capital structure with deal experience covering a variety of sectors including, more recently, aviation, real estate, manufacturing and technology. John has also worked with private equity houses on financing various acquisitions and securing funding.

John is recommended by Legal 500 for both Acquisition Finance and Bank Lending: Investment Grade Debt and Syndicated Loans and in Chambers and Partners for Banking and Finance.

Representative experience

  • Advised Wells Fargo in relation to a €1.5 billion facility provided to subsidiaries of Hewlett Packard in England, Ireland, Germany, Switzerland, Austria, Holland, France, Spain, Portugal and Sweden
  • Advised Pizza Hut Restaurants UK and its senior leadership team, led by CEO Jens Hofma, on the management buyout of the business from Rutland Partners and its subsequent financial restructuring and CVA application
  • Advised Budapest Airport in relation to a €1.1 billion senior facility and €300 million junior PIK facility and related interest rate swaps to refinance an existing acquisition facility
  • Advised a European borrower in relation to a super senior revolving credit facility and related intercreditor agreement in a high yield note super senior revolving credit facility capital structure
  • Advised the super senior lenders and security trustee in relation to the restructuring of an acquisition finance facility and high yield bond provided to acquire the Ideal Standard Group
  • Represented the Bank of England in relation to provision of emergency funding and the nationalisation of Northern Rock plc
