Cooley advised the underwriters on the $250.1 million initial public offering of Neumora Therapeutics, a clinical-stage biopharmaceutical company founded to confront the global brain disease crisis by taking a fundamentally different approach to the way treatments for brain diseases are developed.

Cooley advised NKGen Biotech, a clinical-stage biotechnology company, on its business combination agreement with special purpose acquisition company Graf Acquisition Corp. IV – a combination that will result in NKGen becoming a publicly listed company.

Cooley is advising Grindr, the #1 social network for the LGBTQ+ community, on its definitive agreement to merge with special purpose acquisition company (SPAC) Tiga Acquisition Corp. – a combination that will result in Grindr becoming a publicly listed company. Cooley advised the initial purchasers on Global Blood Therapeutics’ Rule 144A offering of $345 million aggregate principal amount of 1.875% Convertible Senior Notes due 2028.  In connection with the offering, GBT entered into capped call transactions. Goldman Sachs & Co. and Jefferies acted as joint book-running managers for the offering.
