About Megan
Megan focuses on compensation and benefits for public and private companies, and she counsels companies on designing, implementing and disclosing employment, incentive, change-in-control and severance arrangements. She provides strategic advice to boards of directors and management teams on these matters, as well as new developments and evolving best practices in executive compensation, corporate governance and shareholder engagement. She has significant experience advising public companies on the impact of Institutional Shareholder Services (ISS), Glass Lewis, and institutional investor policies and shareholder relations issues. Additionally, as a member of the ESG & sustainability advisory practice, Megan counsels clients on environmental, social and governance (ESG) initiatives and ESG reporting and disclosure strategies.
Megan regularly assists clients with their compensation arrangements in connection with initial public offerings and advises newly public companies in their transition to maturity. Megan also counsels companies and executives on structuring employment, change-in-control and severance arrangements and regularly designs and implements equity incentive plans. Megan has been named a Super Lawyers’ Rising Star for Southern California from 2015 – 2022. While at the University of San Diego School of Law, Megan was elected to the Order of the Coif and received CALI Excellence for the Future Awards in tax and valuation. She also served as a member of the San Diego Law Review.
