Cardlytics Enters Cooperation Agreement With CAS Investment Partners
New York – September 19, 2023 – Cooley advised Cardlytics (CDLX on Nasdaq), an advertising platform in banks’ digital channels, on its cooperation agreement with CAS Investment Partners, a 14.4% stockholder of Cardlytics. Lawyers Mark Ballantyne, Miguel Vega, Bill Roegge and James Lin led the Cooley team advising Cardlytics.
In connection with its entry into the cooperation agreement, Cardlytics appointed Alex Mishurov, chief executive officer and chief investment officer of KPS Global Asset Management, as an independent member of its board of directors. The cooperation agreement contains customary standstill, voting and other provisions.
Cooley previously advised Cardlytics on its $500.5 million public offering in March 2021, $200 million convertible note offering in September 2020 and $76 million initial public offering in April 2018.
