New York – July 15, 2024 – Cooley advised Milestone Pharmaceuticals (Nasdaq: MIST), a biopharmaceutical company focused on the development and commercialization of innovative cardiovascular medicines, on its announced refreshment of its board of directors – consisting of the appointment of two independent directors, effective immediately, and the appointment of an additional independent director in the near term. In conjunction with the announcement, Milestone entered into a cooperation agreement with Alta Fundamental Advisers, one of the company’s shareholders, pursuant to which an affiliate of Alta withdrew its notice under Rule 14a-19 of the Securities Exchange Act of 1934, as amended, to nominate five directors for election to the company’s board of directors at the company’s upcoming 2024 annual meeting of shareholders. Lawyers Bill Roegge, Ryan Sansom, Zach Sonenshine and Sarah Curry led the Cooley team advising Milestone.
Pursuant to the cooperation agreement, Alta has agreed to customary standstill, voting and other related provisions.
Cooley previously advised Milestone on its 2023 $125 million financing from RTW and its 2019 $94.9 million initial public offering.
