Advanced Instruments Acquires and Merges With Nova Biomedical
San Diego – March 19, 2025 – Cooley advised Advanced Instruments, a subsidiary of Patricia Industries and a manufacturer of analytical instruments for the biopharmaceutical and clinical markets, on intellectual property (IP) and licensing aspects in connection with its definitive agreement to acquire Nova Biomedical, a manufacturer of innovative analytical instruments and consumables that are vital in guiding the treatment of patients and the development of biotechnology therapeutics. Following the closing of the transaction, Advanced Instruments and Nova Biomedical will merge to create a global life sciences tools platform that will operate under the Nova Biomedical name, with a diversified portfolio of analytical instruments, reagents and services. The closing is subject to regulatory approval and is expected during Q3 of 2025.
Partners Joanna Liebes Hubberts, Charity Williams and Mika Reiner Mayer, patent agent Lisa Amii, and associate Michael Fernando led the Cooley team advising Advanced Instruments on the agreement’s IP and licensing aspects, with support from IP senior patent prosecution specialist Tim Stone and senior trademark paralegal Gayana Stokes.
