Cooley advised Advanced Instruments, a subsidiary of Patricia Industries and a manufacturer of analytical instruments for the biopharmaceutical and clinical markets, on intellectual property and licensing aspects in connection with its definitive agreement to acquire Nova Biomedical, a manufacturer of innovative analytical instruments and consumables that are vital in guiding the treatment of patients and the development of biotechnology therapeutics.

Cooley advised Laborie Medical Technologies, a top diagnostic and therapeutic medical technology company, on patent matters related to its definitive agreement to acquire Urotronic.

Cooley performed the patent due diligence on behalf of LSP in connection with its Series C investment in Vivasure Medical. LSP led the round with $18.3 million from its LSP Health Economics Fund. The funding will support European commercialization of Vivasure’s PerQseal technology to meet the growing demand for absorbable, percutaneous vessel closure products, as well as execution of an FDA regulatory study.

Cooley advised Avidity Biosciences on its $100 million Series C financing round. Josh Seidenfeld led the Cooley team advising the company along with Matt Fleming, Jeremy Gentile and Darwin Ng. Avidity is pioneering antibody-oligonucleotide conjugates (AOC) for the treatment of rare muscle disorders and other serious diseases. The company’s lead research program addresses myotonic dystrophy type I, a disease with no approved treatment options.
