About Broc

Broc is a renowned thought leader in corporate governance, bringing decades of experience in corporate and securities law, environmental, social and governance (ESG), executive compensation and investor relations. As a senior strategic advisor at Cooley, Broc plays a pivotal role in enhancing the firm’s thought leadership, particularly through “The Governance Beat,” a new blog dedicated to providing actionable insights on regulatory developments and the most pressing governance issues facing today’s corporations.

Broc’s deep understanding of the regulatory landscape, coupled with his ability to distill complex legal issues into practical guidance, makes him an invaluable resource for clients seeking to stay ahead of the curve in an ever-evolving governance environment.

Before joining Cooley, Broc served as editor for TheCorporateCounsel.net, CompensationStandards.com and DealLawyers.com, where he oversaw and managed coverage on issues related to ESG, corporate governance, executive pay, deals, and market trends and analysis. In addition, he served as assistant general counsel at Lockheed Martin, worked in the Office of Chief Counsel of the US Securities and Exchange Commission’s Division of Corporation Finance, was a counselor to then-SEC Commissioner Laura Unger, and worked in private practice. Broc is also the author or co-author of four legal treatises and has authored several books focused on the legal industry.
