Cecilia focuses her practice on capital markets and corporate transactions, including US Securities and Exchange Commission (SEC)-registered offerings, private investment in public equity (PIPE) transactions, and private equity financings. She also regularly advises companies listed on the Nasdaq Stock Market or New York Stock Exchange on their SEC reporting and disclosure obligations. Additionally, Cecilia provides counsel on general corporate and compliance matters.

Cecilia’s representative matters include:

• EHang Holdings (Nasdaq: EH), a top autonomous aerial vehicle technology platform company, in its up to US$100 million at-the-market offering in the US
• FangDD (Nasdaq: DUO), a property technology company in China, in its multiple registered direct offerings in the US and private placements of ordinary shares and convertible promissory notes
• Pintec (Nasdaq: PT), an online financial services provider, in its US$4 million PIPE of Class A ordinary shares
• ImmuneOnco, a clinical-stage biotech company, in its HK$319 million initial public offering (IPO) on the Hong Kong Stock Exchange
• The sole sponsor and other underwriters on the US$101 million IPO and listing of Laekna, a top biotechnology company, on the HKEX
• J.P. Morgan, Citigroup, and SVB Leerink as joint bookrunners in the proposed IPO and listing on Nasdaq of a clinical-stage biopharmaceutical company focused on developing innovative immunotherapies
• A top provider of smart light detection and ranging (LiDAR) sensor systems in its proposed IPO and listing on Nasdaq
• US listing companies in regulatory compliance matters, including Yiren Digital (NYSE: YRD), FangDD (Nasdaq: DUO), EHang Holdings (Nasdaq: EH), etc.
