About Dana
Dana helps companies at all stages of the product life cycle navigate complex regulatory issues and complete critical corporate transactions. His broad practice covers product development and go-to-market strategy, the development of compliance programs and policies, responses to state and federal investigations and inquiries, commercial negotiations and strategic partnerships, private and public fundraising, mergers and acquisitions, and corporate governance.
Dana works closely with companies building products and service offerings in highly regulated environments, such as fintechs and established financial institutions. He helps these companies develop tailored strategies to proactively identify and manage the state and federal regulatory risks of their business models, including risks related to the Negative Option Rule, the Restore Online Shoppers’ Confidence Act (ROSCA), artificial intelligence, state money transmission licensing laws, cryptocurrency laws and regulations, Regulation E, federal anti-money laundering laws, such as the Bank Secrecy Act and the Prepaid Access Rule, the Gramm-Leach-Bliley Act, state and federal gift card laws, and state consumer protection laws. Dana also has experience advising on related credit and lending laws, including the Truth in Lending Act, the Equal Credit Opportunity Act and the Fair Credit Reporting Act.
In his practice, Dana has close contact with state and federal regulators, and he routinely advises companies navigating investigations by the US Federal Trade Commission, the US Consumer Financial Protection Bureau and state banking departments. In particular, Dana helps companies respond to inquiries from regulators related to automatically renewing subscriptions and other negative option features.
Dana also provides guidance to companies and investors on corporate and transactional matters, including venture financings, M&A transactions and capital markets fundraising. His corporate practice is particularly focused on private, venture-backed companies.
