About Jaclyn

Jaclyn is a partner in Cooley’s dynamic fund formation practice group where she primarily represents venture capital and private equity funds through all fundraising phases. Jaclyn partners with a range of clients from visionary emerging managers to global leaders in asset management. Serving as their trusted adviser, Jaclyn delivers tailored counsel informed by market intelligence, streamlines legal documentation through technology and automation, and navigates negotiations with investors, emphasizing relationship-driven approaches.

Jaclyn brings nearly two decades of diverse experience to the private funds arena. Her background spans roles as a fund formation lawyer, a chief compliance officer at a leading venture capital firm, and most recently, the founder of New Austin Venture Advisory, a strategy and legal advisory firm for asset managers.

Throughout her career, Jaclyn has played a pivotal role in guiding the formation of private funds totaling tens of billions of dollars across various strategies. These include venture capital, growth equity, middle market, and buyout funds, as well as sector-specific funds focusing on technology, healthcare, business services, consumer/retail, energy, infrastructure, and “hard asset” investments, alongside co-investment funds.

Jaclyn supports general partners in structuring investments and managing vital aspects of their operations, including internal management, compensation, and succession planning. She routinely counsels on regulatory compliance, addressing investor relations, disclosure matters, and other compliance issues. Jaclyn’s practice also includes representation of institutional limited partners, senior investment professionals, and market-leading placement agents.

Before joining Cooley, Jaclyn served as CCO at Thrive Capital and as a partner at a prominent US-based international law firm.
