About Joshua
Joshua advises private equity sponsors and their portfolio companies on middle-market to multibillion-dollar business transactions, including negotiating complex mergers and acquisitions, minority investments, carve outs, divestitures and restructurings. His experience covers a variety of industries, from technology/software as a service (SaaS) and telecommunications to healthcare, as well as consumer products and manufacturing.
Additionally, Joshua counsels executive teams and general counsels on corporate governance matters involving dividend recapitalizations, commercial agreements, and executive employment and incentive equity arrangements. His experience also includes guiding closely held and founder-owned and
-operated companies through equity investments and exit transactions.
In addition to his private equity practice, Joshua’s experience includes advising emerging and high-growth companies through early formation matters in their corporate life cycle, where he provides advice on structuring and venture financings, along with other day-to-day corporate governance issues and legal matters.

- Tentarix Biotherapeutics in its three collaborations, plus acquisition options, with Gilead Sciences
