Miguel‘s practice focuses on the representation of private and public companies in mergers and acquisitions, joint ventures, divestitures and financing transactions. He also advises public companies on US Securities and Exchange Commission (SEC) compliance, stockholder activism and corporate governance. 

Miguel’s representative matters include:

• 25+ public offerings of equity and/or debt, on both the company and underwriter sides, totaling more than $11 billion
• 350+ venture capital financings since 2016 and more than 150 M&A transactions
• Represented Frontline Education, a provider of administration software purpose-built for K-12 educators, in its agreed-upon sale by Thoma Bravo to Roper Technologies for approximately $3.725 billion in an all-cash transaction
• Represented a public company in its $2.6 billion acquisition of a division from a multinational corporation in a Reverse Morris Trust (RMT) transaction
• Represented a public company in its $1.3 billion sale to a multinational buyer, structured as a dual-track cash tender offer and one-step cash merger, with an additional $275 million in contingent value rights
• Represented a global chemical company in its $1 billion acquisition of a developer of seed-applied biological products
• Represented the management team of a public company in connection with a $2.9 billion sale to a network technology leader
• Represented a public company in its $240 million acquisition of a competitor owned by private equity investors
• Represented a Canadian software company in its $310 million sale to a multinational corporation
• Represented a venture-backed company in its $430 million sale to a public company
