About Nicholaus
Nicholaus represents clients in corporate and securities law matters, acting as outside corporate counsel to public and private companies. He regularly advises companies on corporate governance matters, US Securities and Exchange Commission issues, securities exchange reporting and compliance, public and private financings, and venture capital. He also has represented clients in strategic transactions, such as mergers & acquisitions with valuations ranging from tens of millions to more than a billion dollars, as well as complex commercial transactions. Nicholaus has counseled startups, late-stage private companies and public companies in various industries, including healthcare, medical devices, biotechnology, apparel and agriculture.
Nicholaus received his law degree from the University of California, Berkeley, where he graduated Order of the Coif and served as an associate editor for the university’s California Law Review
Prior to joining Cooley, Nicholaus represented private companies in a broad range of day-to-day and strategic transactions
