About Rubin
Rubin advises clients on antitrust law and competition considerations, including antitrust litigation, compliance with the Hart-Scott-Rodino Act, and mergers and acquisitions. He has experience in matters before the US Department of Justice (DOJ) and the Federal Trade Commission (FTC) and navigates clients across industries, including biotechnology, financial technology, healthcare, medical devices and technology, pharmaceuticals, software, spirits, and TV broadcasting.
Rubin’s representative matters include:
- Representing Apollo Endosurgery in its sale to Boston Scientific for $615 million, supplementing Boston Scientific’s gastrointestinal medical technology solutions
- Representing Carmot Therapeutics in its sale to Roche for $2.7 billion, adding promising treatments for metabolic diseases, including diabetes and obesity, to Roche’s pipeline
- Representing CinCor Pharma, a clinical-stage biopharmaceutical company, in its sale to AstraZeneca for up to approximately $1.8 billion
- Representing Contentsquare in its acquisition of Heap, augmenting Contentsquare’s digital experience analytics with Heap’s product analytics solutions
- Representing Exor in its agreement to invest $200 million in Via Transportation’s Series E preferred stock financing round
- Representing Finicity, a top provider of real-time access to financial data and insights, in its $985 million sale to Mastercard, achieving unconditional clearance from the DOJ
- Representing Forty Seven in its sale to Gilead Sciences for $4.9 billion, strengthening Gilead’s immuno-oncology research and development portfolio
- Representing HBT Labs in its sale to American Regent, increasing American Regent’s capabilities in the production of complex, highly specialized drugs and delivery systems
- Representing Intersect ENT, a supplier of drug-eluting stents, in its $1.1 billion sale to Medtronic, achieving unanimous clearance from the FTC after a nine-month investigation and divestiture of its ear, nose and throat (ENT) navigation and balloon sinuplasty businesses
- Representing Meredith in the $2.8 billion sale of its Local Media Group to Gray Television, with the divestiture of a television station in Flint, Michigan, accomplished through a “fix-it-first” remedy without a consent decree, and in the $2.7 billion sale of its National Media Group to IAC’s Dotdash
- Representing Sazerac in acquisitions of brands from Brown-Forman (Early Times and Canadian Mist), Constellation Brands (Paul Masson Grande Amber Brandy) and Southern Champion (BuzzBallz)
- Representing Synthorx in its $2.5 billion sale to Sanofi, supplementing Sanofi’s pipeline in oncology and immuno-oncology
- Representing SystImmune in its exclusive license and collaboration with Bristol Myers Squibb for a bispecific antibody drug conjugate for $800 million upfront and contingent payments of up to $500 million
- Representing Tableau in its $15.7 billion acquisition by Salesforce, combining the world’s #1 customer relationship management (CRM) and #1 analytics platforms
- Representing TCGplayer, an online marketplace for collectible card game enthusiasts, in its sale to eBay for $295 million
- Representing Tenable in its $265 million acquisition of Ermetic, a fully integrated, cloud-native application protection platform and leading provider of cloud infrastructure entitlement management
- Representing ZOLL Medical Corporation, a manufacturer of medical devices, in its acquisition of Itamar Medical, combining the firms’ diagnostic and therapeutic devices for sleep apnea, and in its earlier acquisition of Cardiac Science Corporation, combining the two top manufacturers of automated external defibrillators (AEDs), facilitating the placement of lifesaving technology into the hands of more lay rescuers and first responders during medical emergencies
Rubin also is an active member of the American Bar Association’s Section of Antitrust Law, serving as a Young Lawyer Representative supporting the Antitrust Section’s Mergers and Acquisitions Committee.
