About Sepideh
Sepideh represents a broad range of high-growth companies at all stages of the business cycle – from startups to public companies – in the technology, software and life sciences industries. Her transactional experience across these industries includes representation of issuers and investors in venture capital and other private financings, buyers and sellers in mergers and acquisitions, and issuers and underwriters in public offerings. Sepideh also regularly advises her clients on general corporate, securities law, and US Securities and Exchange Commission periodic reporting compliance matters, as well as the implications of proposed business transactions. She currently serves on Cooley’s Women’s Initiative Strategy Committee.
Sepideh has advised her clients in more than 350 private financings, 40 M&A transactions and 35 public offerings.

- AuditBoard in its $3 billion sale to Hg
- Logik.io in its $25 million Series B financing
- Goldman Sachs, J.P. Morgan, BofA Merrill Lynch and Barclays as lead book-running managers in Crowdstrike’s $704 million IPO
- Jazz Pharmaceuticals in its offering of $1 billion of aggregate principal amount 2% exchangeable senior notes due 2026
- Institutional Venture Partners in its investment in Coinbase’s $100 million financing
- G2 in its $157 million Series D financing
While at Santa Clara University School of Law, Sepideh was elected to the Order of the Coif and awarded both the Dean’s Fellowship and the American Law Institute Continuing Legal Education Scholarship and Leadership award. She received numerous CALI and Witkin awards for academic excellence in various subject areas and served as editor in chief of the Santa Clara Law Review, where she published “Seeking to Emerge from Slavery’s Long Shadow: The Interplay of Tribal Sovereignty and Federal Oversight in the Context of the Recent Disenrollment of the Cherokee Freedmen.” In addition, Sepideh served as a judicial extern to US District Judge Edward J. Davila of the US District Court for the Northern District of California.
Before law school, Sepideh worked for two years as an educator in conjunction with the Teach For America program.
