About Shari

Shari’s practice focuses on helping both US domestic and non-US public companies navigate the complex and ever changing landcape of securities, disclosure and corporate governance requirements. imposed by the SEC and the major US stock exchanges.

Shari regularly counsels management, boards of directors and board committees on a wide range of matters, including ongoing disclosure requirements and related considerations, director independence, executive and director compensation disclosure, interpretation and implementation of insider trading, Regulation FD and other corporate governance policies, annual stockholder meeting matters, proxy advisory firm voting recommendations, environmental, social, and governance (ESG) and sustainability issues, and new developments and evolving best practices in public company reporting and governance matters. Shari has advised a wide range of clients, from S&P 500 clients to mid and small-cap companies, as well as clients in connection with their IPOs. Shari has also developed a sub-specialty representing non-US and foreign private issuers.
