Securities Litigation + Enforcement
Why Cooley
Shareholder Litigation
With 100+ lawyers focused on securities litigation – including many former federal and state prosecutors – we protect our clients’ legal and business interests while helping them navigate the increasingly complex and ever-changing securities laws. Cooley lawyers have handled hundreds of nationwide securities cases and derivative actions and, unlike most law firms, have taken cases to trial, where we prevailed on behalf of our clients. Our litigators also have scored many appellate victories and argued cases before the Supreme Court.
Securities Enforcement
We are a global team with deep experience representing companies, boards and individuals in investigations by the SEC, as well as other US and foreign regulators and law enforcement agencies. Our team includes a former assistant director for the SEC’s Enforcement Division, in addition to several former senior officials and prosecutors from the DOJ and US attorney’s offices around the country. Our clients benefit from our extensive experience with and inside the SEC and DOJ, along with our proven record of achieving outstanding results in highly sensitive investigations.
We have broad experience handling every type of securities enforcement matter – including alleged accounting and disclosure fraud, the Foreign Corrupt Practices Act, insider trading, data breaches and cybersecurity, cryptocurrency, and regulations involving broker-dealers and investment advisors, to name a few examples.
We also have a robust internal investigations practice, conducting investigations around the world into allegations of misconduct at a wide range of companies – from the Fortune 500 to rapidly growing technology companies. We represent the companies themselves, their audit or other independent board committees, and/or their executives.
