Cooley advised Evisort on its $35 million Series B financing round. Partner Harley Brown led the Cooley team advising Evisort, a developer of contract management platform designed to change the way companies interact with their legal documents.

Cooley advised Milestone Pharmaceuticals on its $94.9 million initial public offering of 6,325,000 shares of common stock. Milestone Pharmaceuticals, whose securities now trade on the Nasdaq Global Select Market under the symbol “MIST,” is a Phase 3 clinical-stage biopharmaceutical company dedicated to developing and commercializing the investigational new drug etripamil for the treatment of cardiovascular indications. Partners Ryan Sansom, Marc Recht and Div Gupta led the Cooley team.

Cooley advised Billtrust, a leading provider of cloud-based software and integrated payment processing solutions that simplify and automate B2B commerce, on its agreement to combine with South Mountain Merger Corporation, a publicly traded special purpose acquisition company or SPAC. The combined company will continue as a publicly listed entity and have an implied estimated enterprise value of approximately $1.3 billion at closing. Partners Miguel Vega, Nicole Brookshire and Matt Browne led the Cooley team advising Billtrust.

Cooley advised Thriveworks on its Series B funding round. Pat Argenio, along with Pat Mitchell and Bill Corcoran, led the Cooley team advising Thriveworks, a mental health provider making high-quality counseling and psychiatry services accessible and affordable.

Cooley advised General Catalyst as lead investor in Eleanor Health’s $50 million Series C funding round. Eleanor Health is a provider of evidence-based outpatient care and addiction recovery services intended to help people suffering from substance abuse disorder. Partners Michael Rohr, Phil Mitchell, William Corcoran and Thomas Connors led the Cooley team.
