Cooley advised Clarabridge, a customer experience management platform focused on omnichannel text and speech analytics, on its agreement to sell to Qualtrics in a stock transaction valued at $1.125 billion. Lawyers Kevin Cooper, Jamie Leigh and Izzy Lubarsky led the Cooley team advising Clarabridge.

Cooley advised IonQ, a quantum computing hardware and software company, on its merger agreement with special purpose acquisition company dMY Technology Group III. Resulting in $650 million in gross proceeds, including $350 million from a fully committed PIPE, the transaction will make IonQ the first publicly traded pure-play hardware and software company in the quantum computing space. Partners Adam Ruttenberg, John McKenna, David Silverman, Jaime Chase and Mike Lincoln led the Cooley team advising IonQ.

Cooley advised Tilter on its $7.5 million financing for its cashierless AI shopping technology led by Investec Emerging Companies. Partner Matthew Bartus led the Cooley team advising Tilter, an Australian AI tech startup.

Cooley advised Xometry, an online marketplace for custom-manufactured parts, on its $75 million equity financing round. Partners Adam Ruttenberg, Derek Colla and Mike Lincoln led the Cooley team advising Xometry.

Cooley advised SevenRooms, a data-driven guest experience platform for the hospitality industry, on its $50 million Series B funding round led by Providence Strategic Growth.

The new capital will support SevenRooms’ continued global expansion and enable the company to further enhance its platform focused on helping operators build profitable, direct relationships with their guests. In conjunction with the investment, PSG Managing Director Adam Marcus will join SevenRooms’ board of directors.
