Cooley advised J.P. Morgan, Morgan Stanley, UBS and Evercore as part of Grab’s agreement to merge with Altimeter Capital’s special purpose acquisition company or SPAC. The transaction marks the largest SPAC merger in history and values the SoftBank-backed technology company at approximately $40 billion. Will Cai in Hong Kong and Ferish Patel in Singapore led a global team of Cooley lawyers across Hong Kong, Singapore and the US on the transaction.

Cooley advised VISEN Pharmaceuticals, a late-stage, near-commercialization biopharmaceutical company focused on providing treatments for select endocrine diseases in Greater China (including Hong Kong, Macau and Taiwan), on its HK$783 million (approximately US$101 million) initial public offering (IPO) on the Stock Exchange of Hong Kong, subject to the exercise of a 15% overallotment option.

Cooley advised Inmagene Biopharmaceuticals, a privately held, global clinical-stage biotechnology company developing novel therapeutics for immunological and inflammatory diseases, on its definitive merger agreement with Ikena Oncology (Nasdaq: IKNA).

Cooley advised Bitdeer Technologies Group (Nasdaq: BTDR), a world-leading technology company for blockchain and high-performance computing, on its $360 million principal amount of 5.25% convertible senior notes due 2029, which includes the option for initial purchasers to purchase up to an additional $40 million principal amount of notes.

Cooley advised Gracell Biotechnologies, a global clinical-stage biopharmaceutical company dedicated to developing innovative cell therapies for the treatment of cancer and autoimmune diseases, on its definitive agreement to be acquired by AstraZeneca.
