Cooley advised Inscripta, a global leader in genome engineering technology, on its acquisition of Infinome Biosciences and Sestina Bio. These acquisitions advance Inscripta’s strategy to develop and commercialize biomanufactured products for a broad spectrum of industrial and consumer markets. They also demonstrate Inscripta’s confidence in the commercial potential of the bioeconomy and the power of genome engineering to accelerate biomanufacturing innovation. Cooley advised Bolder Surgical, a privately held, US-based company that provides advanced energy vessel sealing surgical devices, on its sale to Hologic, a global leader in women’s health, for $160 million. Partner Laura Medina led the Cooley team advising Bolder Surgical.

Cooley advised fintech firm InvestCloud on a recapitalization that values the company at $1 billion. New financial investors are led by Motive Partners with Clearlake Capital Group and include other InvestCloud client shareholders. Under the terms of the agreement, Motive Partners will also contribute two portfolio businesses, Finantix and Tegra118, into InvestCloud, creating a global software-as-a-service wealth solutions platform. Cooley lawyers Kassendra Galindo, Garth Osterman and Rachel Proffitt led the team advising InvestCloud.

Cooley advised Mitsui in its investment in the $24 million funding of FirstElement Fuel, a provider of safe, reliable, retail hydrogen to customers of fuel cell electric vehicles.

Cooley also advised Mitsui on its partnership with Proterra on a $200 million electric bus battery leasing program.

Cooley advised MINDBODY, a technology platform for the wellness services industry, on its completed acquisition of Booker Software for approximately $150 million and the assumption of unvested option awards.
